What This Means (2025 FDD)

According to the 2025 My Salon Suite Franchise Disclosure Document, the indemnification clause specifies who the franchisee must protect from claims, obligations, liabilities, and damages. These protected entities, collectively referred to as "Indemnities," include My Salon Suite itself (the Franchisor), its Affiliates, and their respective shareholders, directors, officers, employees, agents, successors, and assignees.

This means that if a franchisee's actions lead to a claim or lawsuit, the franchisee is responsible for defending and protecting not only My Salon Suite, but also a wide range of related individuals and entities. This responsibility extends to covering legal costs, damages, and other expenses incurred by these "Indemnities" as a result of the franchisee's actions or the operation of the franchised business.

For a prospective My Salon Suite franchisee, this indemnification clause is a significant consideration. It highlights the importance of operating the business in compliance with all applicable laws, regulations, and the terms of the Franchise Agreement. Failure to do so could result in substantial financial exposure for the franchisee, as they would be responsible for covering the costs and damages incurred by a broad group of "Indemnities."
