WHEREAS, the COMPANY has expended time, effort and money to develop its unique formula for its chili and the System, has obtained knowledge in the field of owning, operating, licensing and advising Restaurants, has successfully established a reputation, has created substantial goodwill for its chili and such Restaurants through the operation and licensing thereof under certain trade names, service marks, trademarks, logos, emblems and indicia of origin, including but not limited to those described on Exhibit A hereto (said marks, together with such other names, marks, logos, emblems and indicia as are now or hereafter designated by the COMPANY in writing for use by FRANCHISEE in connection with the System and operation of a Restaurant, and as modified by any and all changes, deletions and additions made by the COMPANY from time to time, are referred to collectively as the "Marks"); and

Furthermore, you are prohibited from using the Marks in any way that disparages Gold Star or harms its reputation. You also cannot use or register the Marks, or any confusingly similar variations, as part of your own name or the name of any entity associated with your activities. Gold Star retains the right to modify or discontinue the use of any Marks, and you must comply with these changes at your own expense. Gold Star also commits to protecting the Marks and associated goodwill.
