What This Means (2025 FDD)
According to Gold Star's 2025 Franchise Disclosure Document, the franchisee does not acquire any right, title, or interest in the Marks beyond the non-exclusive right to use them as outlined in the franchise agreement. All use of the Marks and the associated goodwill benefits Gold Star exclusively. The franchisee acknowledges Gold Star's ownership and the validity of the Marks and agrees not to contest them.
This means that while franchisees are permitted to use Gold Star's trademarks to operate their business, they do not gain any ownership rights over these trademarks. The franchisee's use of the Marks must clearly indicate Gold Star's ownership. The franchisee cannot represent that they have any ownership of the Marks in advertising or otherwise.
This is a standard practice in franchising, as the franchisor needs to maintain control over its brand and image. The franchisee's rights to use the Marks are defined and limited by the franchise agreement, ensuring consistency and protecting the brand's value. This arrangement protects Gold Star's intellectual property and ensures uniform brand representation across all franchise locations.
