What This Means (2025 FDD)

Yes, according to the 2025 Gold Star Franchise Disclosure Document, there is an addendum specific to the state of Indiana. Exhibit H to the Franchise Disclosure Document is titled "ADDENDUM TO THE GOLD STAR CHILI FRANCHISE AGREEMENT REQUIRED BY THE STATE OF INDIANA." This addendum addresses the requirements of Indiana Disclosure Law and the Indiana Deceptive Franchise Practices Act.

The addendum modifies specific sections of the standard Gold Star Franchise Agreement to comply with Indiana law. For example, it supplements Section 1 of the agreement regarding the "Grant of Franchise" with a subsection 1.7, ensuring that Gold Star will not compete unfairly with the franchisee within a reasonable area. Additionally, Section 22.1 of the agreement is deleted and replaced to comply with Indiana law.

This Indiana addendum also includes a clause stating that any provision in the agreement that limits litigation for breach of contract will be void to the extent that it violates the Indiana Deceptive Franchise Practices Act. Furthermore, each provision of the addendum is effective only to the extent that the jurisdictional requirements of the Indiana Franchise Disclosure Law and the Indiana Deceptive Franchise Practices Act are independently met. This ensures that the Gold Star franchise agreement adheres to Indiana's specific regulations, providing additional protections and clarifications for franchisees operating in that state.
