What This Means (2025 FDD)

According to Floyds 99's 2025 Franchise Disclosure Document, the physical location of a franchise is referred to as the "Franchised Location." Section 3.1 of the franchise agreement outlines that a franchisee is granted the right to operate a Floyds 99 shop at the address specified in Exhibit I, which is designated as the Franchised Location. If a specific address isn't available when the agreement is signed, the franchisee must find a location within the "Designated Area" outlined in Exhibit I. Once approved by Floyds 99, this location becomes the Franchised Location and is added to Exhibit I.

Floyds 99 emphasizes the importance of the Franchised Location by restricting the franchisee's operational rights to that specific site. Franchisees cannot transfer their rights to another location without prior written approval from Floyds 99. Additionally, franchisees are prohibited from operating another business or offering Floyds 99's services and products at any site other than the Franchised Location, with exceptions only for other franchised locations under separate agreements.

If a franchisee wishes to relocate their Floyds 99 shop due to damage or destruction of the current Franchised Location, they must seek approval from Floyds 99 to relocate within their Protected Territory. If approved, the franchisee must adhere to Floyds 99's site selection and construction procedures and pay any applicable relocation fees. This demonstrates the franchisor's control over the physical presence and brand image of Floyds 99 shops, ensuring consistency and quality across all locations.
