16. SOFTWARE LICENSE
- 16.1 Grant of License. The Franchisor will license one or more proprietary computer software programs (the "Software") to the Franchisee for use in the operation of the FLOYD'S 99 Shop, including any modifications or revisions thereto, all documentation (other than the Software) related to the Software, the tangible media upon which such programs are recorded and the database file structure thereof (collectively, the "Program"). The Franchisor hereby grants to the Franchisee a nonexclusive, nontransferable, fully paid license to use the Program (the "License") for the term hereof, and agrees to provide updates for the Program for the term hereof. The parties agree as follows:

What This Means (2025 FDD)
According to the 2025 Floyds 99 Franchise Disclosure Document, Floyds 99 will license proprietary computer software programs (the "Software") to the franchisee for use in the operation of their shop. This includes any modifications or revisions, documentation related to the software, the tangible media upon which the programs are recorded, and the database file structure. Floyds 99 grants the franchisee a nonexclusive, nontransferable, fully paid license to use the Program for the term of the agreement and agrees to provide updates for the Program during the term.
The software must be installed on computer equipment designated by Floyds 99 as meeting its specifications. The franchisee is also required to equip the Barbershop with a point-of-sale system, computer hardware, software, telecommunications equipment, and other designated equipment that aligns with Floyds 99's standards. The franchisee must license and use the point-of-sale system and/or software, which includes an ongoing license fee, and it must be obtained from Floyds 99, its affiliates, or designated suppliers.
Floyds 99 also reserves the right to require franchisees to purchase new and upgraded computer hardware components, software (including proprietary software), telecommunications equipment, and other designated equipment with 30 days' prior written notice. These proprietary software programs may be purchased from Floyds 99 or its affiliates. Additionally, franchisees must purchase, install, and implement computer data security hardware and software, firewall protection, and security breach insurance through Floyds 99's designated or approved supplier. Unless already incorporated into the point-of-sale system, franchisees must also purchase Floyds 99's designated point-of-sale system data backup software and services.
