What This Means (2025 FDD)
According to the 2025 Floyds 99 Franchise Disclosure Document, the Franchise Agreement can only be modified upon the execution of a written agreement between Floyds 99 and the franchisee. This means that any changes to the original agreement must be formally documented and agreed upon by both parties to be valid.
This requirement protects both Floyds 99 and the franchisee by ensuring that all modifications are clear, documented, and mutually agreed upon, preventing misunderstandings or disputes over verbal agreements or informal changes. It is a fairly standard clause in franchise agreements to ensure clarity and legal enforceability of any changes.
The FDD also states that Floyds 99 may modify its standards, specifications, and operating and marketing procedures set forth in the Operations Manual unilaterally. These modifications can be made under any conditions and to the extent that Floyds 99, in its sole discretion, deems necessary to protect, promote, or improve the Marks and the quality of the Licensed Methods. However, such modifications will not be made arbitrarily without such determination. This allows Floyds 99 to adapt its business model and standards as needed while providing some assurance to franchisees that changes will be reasonably justified.
