What documents constitute the entire agreement between Floyds 99 and the franchisee?

According to the 2025 Floyds 99 FDD, the Disclosure Document contains a summary of certain material provisions of the franchise agreement. The FDD states that the contract or agreement should be reviewed for a comprehensive understanding of all rights, conditions, restrictions, and obligations of both Floyds 99 and the franchisee.

In Hawaii, the franchise investment law requires that prospective franchisees receive a copy of the disclosure document along with all proposed agreements relating to the sale of the franchise at least seven days before signing any binding agreement or paying any consideration. This ensures franchisees have adequate time to review all documents that constitute the agreement.

In Minnesota, the Rider to the Floyds 99 Franchise Agreement specifies that nothing in the Franchise Disclosure Document or agreements can reduce any of the franchisee's rights as provided for in Minnesota Statutes, Chapter 80C, or franchisee's rights to any procedure, forum, or remedies provided for by the laws of the jurisdiction. Similarly, in New York, any new or different requirement set forth in the Operations Manual shall not unreasonably increase the Franchisee's obligations or place an excessive burden on the Franchisee's operation of its Floyd's 99 Shop.

In Virginia, the addendum states that no statement, questionnaire, or acknowledgment signed by a franchisee shall waive any claims under any applicable state franchise law, including fraud in the inducement, or disclaiming reliance on any statement made by Floyds 99. This provision supersedes any other term of any document executed in connection with the franchise.
