It is understood that Confidential Information is deemed to include, without limitation, clients lists, vendor lists, product formulas, any and all information contained in the Operations Manual (as described in the Franchise Agreement), and any information of whatever nature which gives Franchisor and its affiliates an opportunity to obtain an advantage over its competitors who do not have access to, know or use such lists, written materials, formulas or information.

What This Means (2025 FDD)
According to the 2025 Floyds 99 Franchise Disclosure Document, the definition of confidential information, which includes trade secrets, does include client lists. The FDD specifies that confidential information is understood to include, without limitation, client lists, vendor lists, product formulas, and any information contained in the Operations Manual. This information gives Floyds 99 and its affiliates an advantage over competitors who do not have access to or knowledge of such information.
This means that as a Floyds 99 franchisee, you are obligated to protect the confidentiality of client lists and other proprietary information. Unauthorized disclosure or use of this information could cause irreparable harm to Floyds 99. The franchisee is prohibited from publishing, disclosing, or using this confidential information for their own benefit or the benefit of any entity other than Floyds 99.
Floyds 99 has expended significant effort and money in developing this confidential information and has taken precautions to guard its secrecy. Competitors would find it costly to acquire or duplicate this information. However, information generally available to the public is excluded from the definition of confidential information.
