What This Means (2024 FDD)

According to the 2024 Extreme Art Studio Franchise Disclosure Document, Extreme Art Studio is not required to protect or defend its copyrights, although they intend to do so if they determine that it is in the System's best interests. Extreme Art Studio retains control over any action involving the copyrights, even if a franchisee brings the matter to their attention. Furthermore, Extreme Art Studio is not obligated to participate in a franchisee's defense or provide indemnity for damages or expenses in a proceeding involving a copyright. This means that while Extreme Art Studio owns the copyrights to its materials, the responsibility and cost of defending against copyright infringement claims may fall on the franchisee.

This policy has significant implications for prospective franchisees. If a third party claims that a franchisee's use of Extreme Art Studio's materials infringes on their copyright, the franchisee may have to bear the legal costs of defending themselves. Extreme Art Studio's decision to intervene or not is discretionary, potentially leaving franchisees vulnerable.

In the franchise agreement, franchisees agree to promptly disclose any ideas, concepts, techniques, or materials concerning an Extreme Art Studio Business, understanding that these will be deemed the sole and exclusive property of Extreme Art Studio. Franchisees also agree to assign ownership of any item that does not qualify as a "work made-for-hire" to Extreme Art Studio and take any action requested to show Extreme Art Studio's ownership or to help them obtain intellectual property rights in the item.

Prospective franchisees should carefully consider these terms and seek legal counsel to understand their rights and obligations regarding copyright protection and defense. It would be prudent to inquire about any history of copyright disputes involving Extreme Art Studio and to assess the potential risks associated with using the franchisor's copyrighted materials.
