What This Means (2024 FDD)
According to the 2024 Extreme Art Studio Franchise Disclosure Document, a release is required as a condition of the franchisor's consent to transfer the franchise agreement, enter into a successor franchise agreement, amend the agreement, terminate the agreement, or for other reasons. The franchisee, referred to as the Releasor, must agree to the release terms to receive the franchisor's consent for these actions. This indicates that the release is a separate agreement contingent upon specific changes or terminations of the original franchise agreement.
The release is executed in consideration of the franchisor's consent to the specific action being taken, such as a transfer or termination. By signing the release, the franchisee agrees to its terms, acknowledging the receipt and sufficiency of the consideration provided by Extreme Art Studio Franchising, LLC. This process ensures that both parties are legally bound by the new terms or conditions, effectively superseding or modifying aspects of the original agreement as intended.
This type of release is a common legal practice in franchising when significant changes occur in the franchise relationship. It protects Extreme Art Studio from potential future claims related to the original agreement after a transfer, amendment, or termination. For a prospective franchisee, this means understanding the conditions under which a release might be required and carefully reviewing its terms before signing to ensure they are comfortable with the implications for their rights and obligations.
