What This Means (2024 FDD)
According to the 2024 Extreme Art Studio Franchise Disclosure Document, the Extreme Art Rider serves several key functions for franchisees, particularly those with Standard Franchises (Multi-2 or Multi-3). The Rider is executed prior to opening the second and each subsequent Extreme Art Studio Business under a Standard Franchise. This ensures that the terms specific to each additional location are agreed upon and documented. The FDD notes that the Extreme Art Rider attached as a sample may vary materially and substantially from the form used later.
One of the primary purposes of the Extreme Art Rider is to specify the Approved Location for each additional Extreme Art Studio Business. Once Extreme Art Studio and the franchisee mutually agree on a territory that conforms to the guidelines in Item 12 of the FDD, Attachment E-1 is completed to specify the territory. This is crucial because the success of an Extreme Art Studio Business depends heavily on its location and territory. The Rider also outlines the pre-opening and ongoing services that Extreme Art Studio Franchising will provide to the franchisee related to the Rider Business, as detailed in Section 4 of the Franchise Agreement.
Furthermore, the Extreme Art Rider addresses the termination, expiration, and renewal terms specific to the Rider Business. The Rider's term is linked to the Franchise Agreement, terminating upon the Franchise Agreement's termination or expiration, or upon the transfer of the Rider Business. The Rider is also subject to the renewal provisions outlined in Section 13 of the Franchise Agreement. This ensures that the rights and obligations related to each additional franchise location are clearly defined and aligned with the overall Franchise Agreement.
In summary, the Extreme Art Rider is a critical document for franchisees expanding their operations under a Standard Franchise. It formalizes the agreement on location and territory, outlines the services provided by Extreme Art Studio, and defines the terms for termination, expiration, and renewal specific to each additional Extreme Art Studio Business. Franchisees should carefully review the then-current form of the Extreme Art Rider before signing, as its terms may differ significantly from the sample included in the Franchise Disclosure Document.
