What This Means (2024 FDD)
According to the 2024 Extreme Art Studio Franchise Disclosure Document, the Operating Owner is authorized to act on behalf of the franchisee in all matters related to the Franchise Agreement. Any decision made by the Operating Owner is considered final and binding. Extreme Art Studio Franchising, LLC is entitled to rely solely on the Operating Owner's decisions without needing to consult with any other party named in the Franchise Agreement. Furthermore, Extreme Art Studio will not be held liable for any actions taken by the franchisee based on the decisions or actions of the Operating Owner.
This arrangement simplifies communication and decision-making between Extreme Art Studio and the franchisee. By designating an Operating Owner, the franchisor has a single point of contact, streamlining operations. However, it also places significant responsibility and authority on the Operating Owner, as their decisions are binding and can impact the franchisee's business.
For a prospective franchisee, this means carefully selecting the Operating Owner, as this individual will have considerable influence over the business's operations and relationship with Extreme Art Studio. It is crucial to ensure that the Operating Owner is well-informed, capable, and aligned with the franchisee's business goals. The franchisee should also understand the scope of the Operating Owner's authority and the implications of their decisions, as Extreme Art Studio will rely on those decisions without further consultation.
In the event that an owner ceases to own at least 51% ownership interest, the franchisee must provide a revised Attachment C to accurately identify the Operating Owner for Extreme Art Studio's review and approval. This ensures that the designated Operating Owner remains appropriate and authorized to act on behalf of the franchisee.
