Certain states have laws governing the franchise relationship and franchise documents. Certain states require modifications to the FDD, Franchise Agreement and other documents related to the sale of a franchise. This State Specific Addendum ("State Addendum") will modify these agreements to comply with the state's laws. The terms of this State Addendum will only apply if you meet the requirements of the applicable state independently of your signing of this State Addendum. The terms of this State Addendum will override any inconsistent provision of the FDD, Franchise Agreement or any Supplemental Documents. This State Addendum only applies to the following states: California, Hawaii, Illinois, Iowa, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Ohio, Rhode Island, South Dakota, Virginia, Washington, and Wisconsin.

What This Means (2024 FDD)
According to the 2024 Extreme Art Studio FDD, the amendments and addenda discussed in Item 23 apply specifically to franchisees operating in certain states. The document explicitly mentions that modifications are required for compliance with state laws in California, Hawaii, Illinois, Iowa, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Ohio, Rhode Island, South Dakota, Virginia, Washington, and Wisconsin.
These state-specific addenda modify the Franchise Agreement and other related documents to align with the particular legal requirements of each state. The terms outlined in these addenda will only be applicable if the franchisee meets the criteria set by the respective state, irrespective of signing the addendum itself. Moreover, the state addenda take precedence over any conflicting terms found in the FDD, the Franchise Agreement, or any supplemental documents.
For prospective Extreme Art Studio franchisees, this means that the standard franchise agreement is not universally applicable. Franchisees need to be aware of the specific addendum for their state and understand how it alters the standard agreement. This ensures compliance with local laws and regulations, and it is crucial for avoiding potential legal issues. It is advisable for franchisees to carefully review the state-specific addendum with legal counsel to fully understand their rights and obligations within their specific state.
