What This Means (2024 FDD)

According to the 2024 Extreme Art Studio Franchise Disclosure Document, assignees or transferees of the rights, duties, or obligations of the Owners Agreement are entitled to the benefits of the agreement. Specifically, each immediate and successive assignee or transferee is entitled to the benefits to the extent of their interest in the rights, duties, and/or obligations, as if they were Extreme Art Studio Franchising, LLC.

This means that if Extreme Art Studio transfers its rights or obligations under the Owners Agreement to another party, that party will be able to enforce the agreement and receive its benefits, just as Extreme Art Studio could. This provision ensures that the Owners Agreement remains effective even if the original parties change. It also provides clarity for potential assignees or transferees, assuring them that they will step into the shoes of the original party with respect to the agreement.

For a prospective Extreme Art Studio franchisee, this clause offers some assurance that the benefits of the Owners Agreement will continue even if Extreme Art Studio Franchising, LLC assigns its rights or obligations to another entity. However, it's important to carefully review the terms of the Owners Agreement and any assignment documents to fully understand the scope of the rights and obligations being transferred and the potential implications for the franchisee.
