What This Means (2024 FDD)
According to the 2024 Extreme Art Studio FDD, Extreme Art Studio will protect a franchisee's rights to use the Marks in Minnesota, or indemnify them from any loss, costs, or expenses arising out of any third-party claim, suit or demand regarding their use of the Marks, if the franchisee's use of the Marks is in compliance with the provisions of the Franchise Agreement and Extreme Art Studio's System standards. This amendment clarifies the conditions under which Extreme Art Studio will provide protection or indemnification related to the use of its trademarks within the franchise system.
This means that if an Extreme Art Studio franchisee in Minnesota uses the trademarks according to the franchise agreement and the brand's standards, Extreme Art Studio will defend the franchisee's right to use those marks. Furthermore, Extreme Art Studio will cover any losses, costs, or expenses if a third party makes a claim or sues the franchisee over their use of the trademarks.
This protection is conditional on the franchisee adhering to the franchise agreement and system standards. If the franchisee deviates from these standards, they may not be covered by this protection. This is a fairly standard practice in franchising, as franchisors typically require franchisees to adhere to brand standards to maintain consistency and protect the brand's reputation. Franchisees should carefully review the franchise agreement and system standards to ensure they understand their obligations and can maintain compliance to benefit from this protection.
