What This Means (2024 FDD)
According to the 2024 Extreme Art Studio Franchise Disclosure Document, the confidentiality and non-compete obligations outlined in the franchise agreement do apply to the franchisee's owners. Specifically, Section 5 of the Franchise Agreement details obligations that apply not only to the franchisee but also to each of their owners, unless otherwise specified. This means that owners are equally bound to maintain confidentiality and adhere to non-compete terms.
The confidentiality obligations cover a wide array of information related to the Extreme Art Studio business. This includes training and operations manuals, system standards, marketing strategies, strategic plans, supplier information, proprietary software, the System Website, operating results, customer information, and the Marks. Owners, just like franchisees, must protect this information to prevent it from falling into the hands of competitors or being used in a way that could harm the Extreme Art Studio brand.
The non-compete obligations, detailed in Section 15.4, restrict owners from engaging in any Competitive Business within a specified radius of Extreme Art Studio locations, both during the term of the franchise agreement and for a period of two years after termination or expiration. This restriction applies to locations they operate and any other Extreme Art Studio Business that is open or under development. This provision ensures that owners cannot leverage their knowledge and experience gained from the Extreme Art Studio system to directly compete with the franchise after their involvement ends.
These stipulations are designed to protect Extreme Art Studio's proprietary information, market position, and overall brand integrity. Prospective franchisees should carefully review these sections of the Franchise Agreement and discuss any concerns with Extreme Art Studio to fully understand the scope of these obligations and their implications for the franchisee's owners.
