What This Means (2024 FDD)

According to the 2024 Extreme Art Studio Franchise Disclosure Document, the Confidentiality Agreement explicitly addresses the ownership of intellectual property. It states that the employee, independent contractor, agent, representative, or supplier acknowledges that the intellectual property is vital to Extreme Art Studio's success and that of its franchisees. The agreement specifies that the individual will not use the intellectual property in any way detrimental to Extreme Art Studio or the franchisee.

The agreement emphasizes that the individual must maintain the confidentiality of the intellectual property at all times and not make unauthorized copies of documents containing it. They must also take reasonable steps to prevent unauthorized use or disclosure of the intellectual property. Furthermore, the agreement states that the individual must stop using the intellectual property immediately if they are no longer associated with the franchisee.

In practical terms, this means that anyone who has access to Extreme Art Studio's intellectual property through their association with a franchisee is legally bound to protect it. This includes trade secrets, proprietary information, methods, techniques, specifications, practices, policies, marketing strategies, and the contents of the Franchise Operations Manual. The agreement aims to protect Extreme Art Studio's competitive advantage and the integrity of its franchise system by preventing unauthorized use or disclosure of its valuable intellectual assets.
