What This Means (2025 FDD)
According to Eos Worldwide's 2025 Franchise Disclosure Document, the Washington addendum is an integral part of and modifies the franchise agreement and all related agreements. This addendum applies under the following conditions: if the offer to sell a franchise is accepted in Washington, if the purchaser of the franchise is a resident of Washington, or if the franchised business is to be located or operated, either wholly or partly, in Washington.
This means that if a prospective Eos Worldwide franchisee accepts the franchise offer while in Washington, regardless of their residency, the Washington addendum will apply. Similarly, if an individual residing in Washington purchases the franchise, the addendum is applicable, irrespective of where the offer was accepted or where the business will operate. Furthermore, if the Eos Worldwide franchise is planned to be located or operated in Washington, even partially, the addendum is in effect.
The inclusion of such addenda is a common practice in franchising to ensure compliance with state-specific franchise laws, which can vary significantly. For a potential Eos Worldwide franchisee, it is crucial to understand how these addenda modify the standard franchise agreement, as they can affect their rights and obligations. In the case of Washington, the addendum ensures that the franchisee benefits from the protections offered by the Washington Franchise Investment Protection Act in case of conflicting laws.
Prospective franchisees should carefully review the Washington addendum, along with the main franchise agreement, to fully understand their rights and obligations under Washington law. Consulting with a franchise attorney is advisable to navigate these legal nuances and ensure they are making an informed decision.
