What This Means (2025 FDD)
According to the 2025 Eos Worldwide Franchise Disclosure Document, Eos Worldwide can temporarily restrict a franchisee's access to its online systems if the franchisee is in default of any material obligations under the Franchise Agreement. This restriction can apply to all or part of the EOS-related data contained within the computer system or any required technology. The restriction remains in place until the franchisee has completely cured the default.
This provision means that if an Eos Worldwide franchisee fails to meet their obligations, such as payment obligations or adherence to operational standards, Eos Worldwide has the right to limit their access to essential online resources. These resources could include training platforms, customer databases, or other proprietary information necessary to run the franchise effectively. The franchisee will not be able to fully operate the business until the default is resolved.
It is important for prospective franchisees to understand what constitutes a 'material obligation' under the Franchise Agreement. This should be clarified during the due diligence process. Franchisees should also ensure they have a clear understanding of the procedures for curing a default to regain full access to the online systems as quickly as possible. This type of clause is relatively standard in franchise agreements, as it protects the franchisor's system and brand integrity by ensuring franchisees meet their contractual responsibilities.
