(a) You acknowledge that, as between you and us, we or our affiliates are the exclusive owners of the Intellectual Property, Client Data, Franchise System Standards, and other elements of the
EOS Franchise System. You further acknowledge and agree that any modifications to the EOS Franchise System or any substitutions or additions to the Intellectual Property suggested or developed by you shall be owned exclusively by us and may be incorporated by us or our affiliates into the Intellectual Property without any compensation to you. As such, you hereby assign and transfer to us all of your entire right, title and interest in and to any rights in or to any Intellectual Property which you may acquire, by operation of law or otherwise, as applicable, or to any improvements, modifications, substitutions, or additions to the Intellectual Property suggested or developed by you and in and to any and all works of authorship and processes embodied therein, and in all goodwill signified thereby, and any and all intellectual property rights and any legal equivalent thereof, including the right to apply for, register, or claim priority to, patents, copyrights, trademark, trade secret and other intellectual property protection, and the right to enforce such rights, title and interest by lawsuit or otherwise. Additionally, all processes, ideas, concepts, methods, techniques or materials relating to the Franchise, whether or not constituting protectable intellectual property, and whether created by or on behalf of you or in connection with the development or operation of your Franchise, will be promptly disclosed to us. If we adopt any of them as part of the EOS Franchise System, they will be deemed to be our sole and exclusive property and part of the EOS Franchise System and deemed to be works made for hire for us.
- (b) Your right to use the EOS Franchise System, Client Data, the Marks, and the Intellectual Property is derived solely from this Agreement, is nonexclusive and is limited to the conduct of the Franchised Business pursuant to, and in compliance with, this Agreement.
You shall use the EOS Franchise System, Client Data, the Marks, and the Intellectual Property strictly in accordance with the terms of this Agreement and all policies set forth from time to time in the Operations Manual.

What This Means (2025 FDD)
According to the 2025 FDD, Eos Worldwide retains the right to modify the EOS Franchise System. Specifically, Eos Worldwide has the right to operate, administrate, develop, and change the EOS Franchise System in any manner that is not specifically precluded by the provisions of the agreement. This allows Eos Worldwide to adapt the franchise system as needed, provided that such changes do not violate the franchisee agreement.
This right extends to various aspects of the franchise, including the website, where Eos Worldwide can make changes, additions, and deletions at its sole discretion. Franchisees must also adhere to Eos Worldwide's policies and procedures for e-commerce and may be required to operate aspects of their franchised business through designated e-commerce methods. Furthermore, franchisees must comply with all applicable Franchise System Standards and guidelines set forth in the Operations Manual, as updated from time to time, especially regarding the use of artificial intelligence in their franchised business.
Eos Worldwide's right to modify the franchise system also extends to intellectual property. Any modifications to the EOS Franchise System or any substitutions or additions to the Intellectual Property suggested or developed by the franchisee shall be owned exclusively by Eos Worldwide and may be incorporated by them without any compensation to the franchisee. This ensures that Eos Worldwide maintains control over the intellectual property and can implement changes uniformly across the franchise system.
For a prospective franchisee, this means that the operational standards, marketing strategies, and technology platforms could evolve over time. Franchisees must stay informed about these changes and adapt their business practices accordingly. While Eos Worldwide has broad discretion, the agreement also includes provisions for reasonable business judgment in certain decisions, balancing the franchisor's need for flexibility with the franchisee's need for a stable operating environment.
