What This Means (2025 FDD)
According to the 2025 Eos Worldwide Franchise Disclosure Document, Eos Worldwide can require employees or other persons affiliated with a franchisee's business to sign a confidentiality agreement. This agreement would be Eos Worldwide's standard form confidentiality agreement at that time. However, the franchisee remains ultimately responsible for ensuring the confidentiality of the confidential information shared with employees or third parties, whether directly or through access to any Eos Worldwide system.
This means that while Eos Worldwide can mandate the use of its confidentiality agreement, the franchisee bears the responsibility of enforcing it and safeguarding confidential information. This is a common practice in franchising, where the franchisor provides the framework for protecting proprietary information, but the franchisee is responsible for day-to-day implementation and compliance within their specific business.
Prospective Eos Worldwide franchisees should carefully review the standard form confidentiality agreement to understand its scope and obligations. They should also establish clear internal policies and procedures for handling confidential information and training employees on their responsibilities. This will help ensure compliance with the franchise agreement and protect Eos Worldwide's valuable proprietary information.
