4.14 No Right to Set-Off.
You agree that you shall not, on grounds of the alleged non-performance or default by us of any of our obligations under this Agreement, withhold payment of any fee or other amount payable to us under this Agreement or otherwise. Notwithstanding any designation by you, we have the right to apply any payments to any past due amounts and accrued interest thereon as we see fit in our discretion, subject to applicable law.
5. TRAINING.
5.1 Initial Training and Continuing Training.
- (a) Prior to providing any Implementer Services to any Clients and within six (6) months of the Effective Date, you must attend and complete to our reasonable satisfaction, our initial training program we call Boot Camp ("Boot Camp"). We currently offer Boot Camps quarterly at different locations in the United States each February, May/June, August/September and November/December. You may not attend any of our Boot Camps that may be offered outside of the United States without our prior written permission, as those Boot Camps are designed to support local operations within those regions. To the extent we allow you to attend an international Boot Camp, there will not be any adjustment to your Boot Camp Fee; however, you may be responsible for additional taxes or other fees imposed by any local governmental authority as a result of your attendance at such international Boot Camp. In addition to paying the Boot Camp Fee, you must pay all expenses incurred in connection with attending Boot Camp, including travel, lodging, meals, local transportation expenses and wages.

What This Means (2025 FDD)
According to Eos Worldwide's 2025 Franchise Disclosure Document, prior to providing any Implementer Services to clients, franchisees must attend and complete the initial training program called Boot Camp to Eos Worldwide's reasonable satisfaction. This must be done within six months of the franchise agreement's effective date. Eos Worldwide offers Boot Camps quarterly at different locations in the United States each February, May/June, August/September and November/December.
Franchisees are responsible for all expenses associated with attending Boot Camp, including travel, lodging, meals, local transportation, and wages. The dates and locations of Boot Camp are subject to change, and Eos Worldwide assumes no responsibility for any costs incurred due to such changes. If a franchisee fails to complete Boot Camp to Eos Worldwide's satisfaction and is permitted to repeat the training, they will be charged the then-current cost for repeating Boot Camp.
Before attending Boot Camp, franchisees will receive access to comprehensive online training that includes tools, supplies, teaching materials, video guides, and printable guidelines to help them prepare. Franchisees must review, utilize, and complete certain tasks as part of this preparation. Additionally, Eos Worldwide will assign a 180 Day Sprint coach to guide new Implementers through Boot Camp during their first 180 days. After this initial period, franchisees will transition to the guidance of a Professional leader, an EOS Implementer who develops programs for the Professional EOS Implementer Community.
