What This Means (2025 FDD)
According to the 2025 Eos Worldwide Franchise Disclosure Document, any processes, ideas, concepts, methods, techniques, or materials related to the franchise, whether or not they are considered protectable intellectual property, and regardless of who created them, must be promptly disclosed to Eos Worldwide. If Eos Worldwide decides to adopt any of these creations as part of their franchise system, they will become the sole and exclusive property of Eos Worldwide. These creations will be considered works made for hire for Eos Worldwide. This means that Eos Worldwide will own all rights to these items, and the franchisee will not be entitled to any compensation or ownership rights.
This requirement ensures that Eos Worldwide maintains control over its franchise system and can incorporate new ideas and improvements without legal challenges from franchisees. It also allows Eos Worldwide to ensure consistency across all franchises and protect its brand identity. For a prospective franchisee, this means that while they can contribute to the system's evolution, they will not own any of the intellectual property they develop for the franchise.
This is a fairly standard practice in franchising, where the franchisor typically owns all intellectual property related to the franchise system. However, it's crucial for franchisees to understand that any innovations or improvements they develop for their Eos Worldwide franchise will become the property of the franchisor. Franchisees should consider this when deciding whether to invest in the franchise and how they approach their role in the system's development.
