What This Means (2025 FDD)

According to the 2025 FDD, Eos Worldwide is subject to Minnesota statutes regarding franchise transfers. Specifically, for franchises governed by Minnesota law, Eos Worldwide must comply with Minn. Stat. Sec. 80C.14, Subds. 3, 4, and 5. These statutes stipulate that, except in certain specified cases, Eos Worldwide's consent to the transfer of a franchise will not be unreasonably withheld. This provision aims to protect the franchisee's ability to sell their business to a qualified buyer.

This means that if a franchisee in Minnesota wants to sell their Eos Worldwide franchise, the franchisor cannot arbitrarily deny the transfer. There must be a legitimate, justifiable reason for withholding consent. This protection is crucial for franchisees as it ensures they can realize the value of their investment when they decide to exit the business. Without such a provision, a franchisor could potentially hinder the sale of the franchise, thereby devaluing the franchisee's asset.

However, the FDD also notes that there are "certain specified cases" where the restriction on unreasonably withholding consent may not apply. It is important for a prospective franchisee to understand what these exceptions are. A franchisee should seek clarification from Eos Worldwide regarding the specific circumstances under which they might withhold consent to a transfer, ensuring they are fully aware of their rights and obligations under Minnesota law.
