What This Means (2025 FDD)

According to the 2025 Eos Worldwide Franchise Disclosure Document, any processes, ideas, concepts, methods, techniques, or materials related to the franchise that a franchisee creates will be promptly disclosed to Eos Worldwide. If Eos Worldwide adopts any of them as part of the Eos Franchise System, they will be deemed the sole and exclusive property of Eos Worldwide and considered works made for hire for them. This means that Eos Worldwide will own all rights to these adopted processes.

This clause has significant implications for a prospective Eos Worldwide franchisee. While franchisees may innovate and develop new methods or materials in their business, any such innovation that Eos Worldwide incorporates into the broader franchise system becomes the property of Eos Worldwide. The franchisee will not receive any compensation or retain any ownership rights over these contributions. This is a fairly standard practice in franchising, as it allows the franchisor to maintain uniformity and control over the brand and system.

For a prospective franchisee, it is crucial to understand that while their creativity and contributions are encouraged, they will not own any intellectual property rights to those contributions if Eos Worldwide adopts them. This underscores the importance of carefully reviewing the franchise agreement and understanding the terms related to intellectual property and system modifications. Franchisees should consider this when deciding whether to invest in an Eos Worldwide franchise, as it affects their ability to monetize or control any innovations they develop within their franchise.
