For Eos Worldwide, what happens if I independently no longer meet the standards to be an implementer?

Answer from 2025 FDD Document

We currently categorize full-time operating franchisees in three different tiers, "Professional", "Certified" or "Expert". We also have created separate tiers, for EOS Implementers that are transitioning into retirement and would like to remain part of our EOS Implementer Community. Your franchise rights and your rights to qualify for and maintain your tier designation depend on your achieving certain productivity standards, as judged by the number of sessions conducted and your ratings for these sessions. Our evaluation criteria and productivity standards are outlined in our Operations Manual and summarized below, and may change from time to time at our discretion. If an Implementer meets the criteria and elects to upgrade its tier, then we may upgrade an Implementer's tier on a going forward basis, subject to satisfying

the criteria for the upgraded tier. Upgrading a tier is optional. If an Implementer fails to meet the evaluation criteria and productivity standards outlined in the Operations Manual, we may downgrade that Implementer's tier. We also reserve the right to require Remedial Training. If you fail to meet the minimum ratings or minimum productivity standards for the Professional Tier (as defined below) following completion of Remedial Training, we reserve the right to terminate your Franchise Agreement. Implementers may also submit requests to downgrade their tier.

What This Means (2025 FDD)

According to the 2025 Eos Worldwide FDD, the consequences for not meeting the standards as an implementer depend on the specific tier an implementer belongs to. Eos Worldwide categorizes full-time operating franchisees into three tiers: Professional, Certified, and Expert. They also have Legacy and Emeritus tiers for those transitioning into retirement. Each tier has specific criteria related to productivity, session ratings, and participation in QCEs (Quarterly Collaborative Exchange). These criteria are detailed in the Operations Manual and may change at Eos Worldwide's discretion.

If an implementer fails to meet the evaluation criteria and productivity standards, Eos Worldwide may downgrade that implementer's tier. Additionally, Eos Worldwide reserves the right to require Remedial Training. If an implementer fails to meet the minimum ratings or minimum productivity standards for the Professional Tier after completing Remedial Training, Eos Worldwide reserves the right to terminate the Franchise Agreement. Implementers can also request to downgrade their tier.

For Certified and Expert tiers, if an implementer does not meet the designation requirements at any measurement period, they will downgrade to the Professional tier. For Legacy and Emeritus tiers, failure to meet designation requirements means the implementer must either revert to full-time status and designation or choose to exit the Eos Worldwide community. Therefore, maintaining the standards of your designated tier is crucial to avoid potential downgrades, required remedial training, or even termination of the franchise agreement.
