Under what conditions can a Dryject franchisee disclose parts of the Dryject System?

WHEREAS, it is anticipated that Signer may have access to learn Franchisor's Trade Secrets as Franchisee develops and maintains Franchisee's Business using DRYJECT SYSTEM.
NOW, THEREFORE, in consideration of the mutual covenants and obligations contained herein, the parties agree as follows:

- Franchisee may disclose to Signer some or all of Franchisor's Trade Secrets relating to DRYJECT SYSTEM.

- Signer shall receive Franchisor's Trade Secrets in confidence, maintain them in confidence, and shall use them only in connection with the development and/or maintenance by Franchisee of the Franchised Business using DRYJECT SYSTEM for so long as Franchisee is licensed by Franchisor to use DRYJECT SYSTEM.

- Signer shall not at any time make copies of any documents or compilations containing some or all of Franchisor's Trade Secrets without the express written permission of Franchisor.

- Signer shall not disclose or permit the disclosure of Franchisor's Trade Secrets to anyone.

- That all information and materials, including without limitation, specifications, techniques and compilations of data which Franchisor shall designate as confidential shall be deemed Franchisor's Trade Secrets for the purposes of this Agreement. [Item 8: BUSINESS RELATIONSHIP]
NOW, THEREFORE, in consideration of the mutual covenants and obligations contained herein, the parties agree as follows:

- Franchisor and/or Franchisee shall disclose to Trainee some or all of Franchisor's Trade Secrets relating to DRYJECT SYSTEM.

- Trainee shall receive Franchisor's Trade Secrets in confidence, maintain them in confidence, and use them only in the course of Trainee's employment by Franchisee and then only in connection with the development and/or maintenance by Franchisee of Business using DRYJECT SYSTEM for so long as Franchisee is licensed by Franchisor to use DRYJECT SYSTEM.

- Trainee shall not at any time make copies of any documents or compilations containing some or all of Franchisor's Trade Secrets without the express written permission of Franchisor.

- Trainee shall not disclose or permit the disclosure of Franchisor's Trade Secrets except to other employees of Franchisee and only to the limited extent necessary to train or assist other employees of Franchisee who have also signed Non-Disclosure, Non-Solicitation and Non-Competition Agreements or Confidentiality Agreement where appropriate as determined by Franchisor in the development or maintenance of Business using DRYJECT SYSTEM.

What This Means (2025 FDD)
According to Dryject's 2025 Franchise Disclosure Document, a franchisee may disclose Dryject's trade secrets to certain individuals under specific conditions. The franchisee can disclose trade secrets to a 'Signer,' provided the Signer agrees to receive the information in confidence and use it only for the development and maintenance of the Dryject business while the franchisee is licensed. The Signer must also agree not to disclose the trade secrets to anyone else.
Additionally, a Dryject franchisee can disclose trade secrets to their own employees ('Trainee'), but only to the extent necessary for training or assistance in developing or maintaining the business. These employees must also sign Non-Disclosure, Non-Solicitation and Non-Competition Agreements or Confidentiality Agreements, as determined appropriate by Dryject. The franchisee must also obtain express written permission from Dryject before making copies of any documents containing the franchisor's trade secrets.
These restrictions are in place to protect the goodwill, unique qualities, and confidentiality of Dryject's trade secrets. Prospective franchisees should understand that unauthorized disclosure of trade secrets could have significant legal and financial consequences, as it could harm the Dryject system and provide an advantage to competitors. Franchisees should ensure they have proper agreements in place with anyone who may have access to Dryject's trade secrets and strictly adhere to the franchisor's guidelines on confidentiality.
