Under what conditions can the Dryject franchise agreement be changed or modified?

The Franchise Agreement is modified as follows: part of the Agreement. This Rider is being executed because the Licensed Business to be operated by you pursuant to the Agreement will be located in the State of California and/or because you are a resident of the State of California.
- (d) You alone are responsible for operating the Franchised Business in full compliance with all System Standards, as modified from time to time.
System Standards mean mandatory specifications, standards, operating procedures, and rules that We periodically prescribe for the development and operation of DryJect franchised businesses.
All references in this Agreement to System Standards will include any modifications, deletions and/or additions to the System Standards which are authorized by this Agreement or the Operations Manual.
Except as otherwise provided in this Agreement, System Standards may regulate any aspect of the operation and maintenance of DryJect franchised businesses, provided that all System Standards will apply uniformly to all similarly situated DryJect franchised businesses.
Because complete uniformity under varying conditions may be impossible or impractical, We reserve the right to vary the standards of eligibility, including financial terms and conditions, for any franchisee, including You, based upon the peculiarities of a particular territory, including density of population, business potential, population of trade area, existing business practices, or any other conditions which We determine to have, or potentially have, a significant effect on the successful operation of such franchisee's business. Variations from standard specifications and practices granted to other franchisees shall not under any circumstances be cause to require Us to grant to You a like or similar variation hereunder, either now or in the future.
We reserve the right to update or make changes or additions to the DryJect Internet Website without limitation.
- (e) New products, services, equipment or technologies, as they are located or developed in the marketplace, which may be tested and evaluated by Us, and, if they meet Our System Standards, are made available to all DryJect franchisees, either through an approved supplier or by Us directly;
- (o) You shall not make any material replacements or alterations to any equipment, techniques, signs or the System of the Franchised Business without Our prior written approval.
To the extent that the provisions regarding termination described in the Franchise Agreement regarding repurchase of inventory are inconsistent with the requirements of § 135.045 of the Wisconsin Fair Dealership Law, the abovementioned provisions will be superseded by the Law's requirements, which states that if DRYJECT MANAGEMENT, LLC, at the option of DRYJECT MANAGEMENT, LLC, repurchases inventory which was sold by DRYJECT MANAGEMENT, LLC to You, fair market value must be paid for all merchandise bearing a name, trade name, label or other mark which identifies DRYJECT®.

What This Means (2025 FDD)
According to the 2025 Dryject FDD, the franchise agreement and System Standards can be modified under certain conditions. Dryject retains the right to update or make changes or additions to the DryJect Internet Website without limitation. Additionally, Dryject may test and evaluate new products, services, equipment, or technologies and, if they meet the System Standards, make them available to all Dryject franchisees.
System Standards, defined as mandatory specifications, standards, operating procedures, and rules, can be modified, deleted, and/or added to by Dryject. These System Standards regulate the operation and maintenance of Dryject franchised businesses, provided they apply uniformly to all similarly situated franchisees.
Variations in standards of eligibility, including financial terms and conditions, may also occur based on the peculiarities of a particular territory, such as population density, business potential, or existing business practices. However, variations granted to other franchisees do not obligate Dryject to grant similar variations to another franchisee. Furthermore, any digital or electronic content published by the franchisee must comply with Dryject's brand communication standards and is subject to their approval. Franchisees are also not allowed to make any material replacements or alterations to any equipment, techniques, signs or the System of the Franchised Business without Dryject's prior written approval.
In Wisconsin, the FDD states that to the extent that the provisions regarding termination described in the Franchise Agreement regarding repurchase of inventory are inconsistent with the requirements of § 135.045 of the Wisconsin Fair Dealership Law, the abovementioned provisions will be superseded by the Law's requirements. Also, covenants not to compete during the term of and upon termination or expiration of a Franchise Agreement are enforceable only under certain conditions according to Wisconsin Law. For franchisees in California, the Franchise Agreement is modified by a California Rider, executed because the Licensed Business will be located in California and/or because the franchisee is a resident of California.
