Under what condition will Dryject not operate or grant franchises for a similar business within a franchisee's territory?

If you remain in compliance with your Franchise Agreement, we will not operate or grant franchises for a similar or competitive business under the Marks within your Territory (as described in Addendum A of the Franchise Agreement). However, we and our affiliates may operate businesses or grant franchises for any locations within or outside your Designated Territory, if they are operated under a different name or if they offer different goods and services. We and our affiliates also have the right to acquire, be acquired by, or merge with other companies which provide turf aeration services and related businesses, and other related services anywhere (including inside or outside of the Designated Territory) and, even if such businesses are located in the Designated Territory, the other businesses may continue to operate under another name. We will not compensate you for any of our activities including soliciting or accepting business in your Designated Territory, even if they have an impact on your Franchised Business.

What This Means (2025 FDD)
According to Dryject's 2025 Franchise Disclosure Document, Dryject will not operate or grant franchises for a similar or competitive business under the Dryject marks within a franchisee's designated territory, provided the franchisee remains in compliance with the Franchise Agreement. This means that as long as the franchisee adheres to the terms and conditions outlined in their agreement, Dryject will not directly compete or allow another franchisee to operate a Dryject business within their territory. Dryject retains the right to operate businesses or grant franchises for locations within or outside the franchisee's designated territory if they operate under a different name or offer different goods and services. This means that while Dryject won't directly compete under the same brand, they can still engage in similar businesses through different avenues. Furthermore, Dryject and its affiliates can acquire, be acquired by, or merge with other companies that provide turf aeration services and related businesses, regardless of location, including within the franchisee's designated territory. These acquired businesses may continue to operate under their original names, creating potential competition for the franchisee.
