The Operations Manual contains mandatory and suggested specifications, policies, methods, standards, operating procedures and requirements prescribed from time to time by Us and information relative to other obligations of a franchisee, and to the operation of a Franchised Business.
Any required System Standards exist to protect Our interests in Our System and the Marks and not for the purpose of establishing any control or duty to take control over those matters that are reserved to You.
The Operations Manual also will include guidelines or recommendations in addition to required System Standards.
In some instances, the required System Standards will include recommendations or guidelines to meet the required standards.
You may follow the recommendations or guidelines or some other suitable alternative, provided You meet and comply with the required System Standards.
In other instances, no suitable alternative may exist.
In order to protect Our interests in the System and Marks, We reserve the right to determine if You are meeting a required System Standard and whether an alternative is suitable to any recommendations or guidelines.
The Operations Manual will remain confidential and the property of Us, constitutes a Trade Secret owned by Us, and may not be loaned to any person, or duplicated or copied in whole or in part in any manner, without Our prior written permission.
We have the right to add to and otherwise modify the Operations Manual from time to time, as We deem
necessary, provided that no such addition or modification will alter Your fundamental status, rights and obligations under this Agreement. You shall always follow the directives of the Operations Manual, as it may be modified by Us from time to time. You acknowledge that such compliance by You is necessary to protect the integrity and reputation of Our System.

Dryject retains the right to determine if a franchisee is meeting a required System Standard and whether an alternative is suitable to any recommendations or guidelines. The Operations Manual remains Dryject's confidential property and constitutes a trade secret. It cannot be loaned to any person or duplicated without Dryject's prior written permission. Dryject may add to or modify the Operations Manual as necessary, provided that such changes do not alter the franchisee's fundamental rights and obligations under the Franchise Agreement.
In practice, this means a Dryject franchisee needs to ensure that any training they provide to their managers aligns with the most current version of the Operations Manual. They must use only approved methods and materials, and cannot deviate from the System Standards without Dryject's explicit approval. Failure to comply with these standards could be a breach of the Franchise Agreement and jeopardize the integrity and reputation of the Dryject system.
