What This Means (2025 FDD)
According to the 2025 Dryject FDD, the Signer is explicitly prohibited from disclosing Dryject's trade secrets to anyone. The agreement states that the Signer must receive Dryject's trade secrets in confidence and maintain that confidentiality. They are only allowed to use the trade secrets in connection with the franchisee's business operations using the Dryject system, and only for as long as the franchisee is licensed to use the Dryject system.
Furthermore, the Signer is not allowed to make copies of any documents containing Dryject's trade secrets without express written permission from Dryject. The agreement emphasizes that all information designated as confidential by Dryject is considered a trade secret. This includes specifications, techniques, and data compilations. The Signer is also prohibited from acting in any way that could harm the goodwill associated with the Dryject system.
This stringent confidentiality requirement is common in franchising to protect the franchisor's proprietary information and maintain a competitive advantage. Prospective Dryject franchisees should carefully review these restrictions and ensure that anyone who signs such an agreement on their behalf fully understands their obligations. Violation of these terms could lead to legal action and damage the relationship between the franchisee and Dryject.
