What This Means (2025 FDD)

According to the 2025 Dryject Franchise Disclosure Document, Dryject Management, LLC owns the Licensed Rights associated with the Dryject franchise. The FDD states that Dryject has developed a unique business system for DryJect Services, which includes proprietary marks and information related to the operation of the DryJect business. These marks and rights are collectively referred to as "Licensed Rights."

The FDD explicitly states that Dryject is the owner of these Licensed Rights, including all associated goodwill. As a franchisee, you are granted the right to use these Licensed Rights in the establishment and operation of your franchised business, subject to the terms and conditions outlined in the franchise agreement. However, the agreement clarifies that franchisees do not gain any ownership or title to these Licensed Rights beyond the specific usage rights granted.

This means that while franchisees can benefit from using the DryJect brand and system, they must acknowledge DryJect's sole and exclusive right to the DryJect Marks. Franchisees cannot contest the validity or ownership of these rights, and all goodwill associated with the Licensed Rights ultimately benefits DryJect. This is a standard arrangement in franchising, ensuring brand consistency and protecting the franchisor's intellectual property.
