What This Means (2025 FDD)
According to Dryject's 2025 Franchise Disclosure Document, Dryject Management, LLC will protect a franchisee's right to use the DryJect® Mark and Trade Name in Minnesota. This protection extends to indemnifying the franchisee against any losses, costs, or expenses that may arise from claims, suits, or demands related to the franchisee's use of the DryJect® Marks or Trade Name. This means that if a franchisee in Minnesota is sued for trademark infringement related to their use of the DryJect® brand, Dryject will cover the franchisee's legal costs and any resulting damages. This protection is specifically outlined in an addendum to Item 13 of the standard franchise agreement for franchisees in Minnesota.
This type of protection is a significant benefit for franchisees as it shields them from potentially substantial financial burdens associated with intellectual property disputes. Trademark protection and indemnification are common in franchising, as franchisors want to ensure consistent brand representation and protect their franchisees from legal challenges. However, the specific terms and extent of this protection can vary, so it is important for prospective franchisees to carefully review the franchise agreement and any state-specific addenda.
Furthermore, the 2025 FDD includes additional protections for Minnesota franchisees under the Minnesota Franchise Act. These protections include stipulations regarding termination and nonrenewal notices, transfer of the franchise, and limitations on required litigation venues and waivers of rights. These provisions collectively enhance the legal safeguards available to Dryject franchisees operating in Minnesota, providing a more secure and predictable business environment.
