What This Means (2025 FDD)

According to the 2025 Dryject FDD, the restrictions on franchise transfers are in place to protect the Dryject franchise system. These restrictions are deemed necessary to safeguard Dryject's trade secrets, operating procedures, overall reputation, image, and licensed rights, as well as to protect both existing franchisees and the franchisor. Dryject emphasizes that these restrictions are reasonable and essential for maintaining the integrity of the brand and the network of franchisees.

Dryject considers a franchisee's performance to be vital to its market position and overall image. The selection of a suitable franchisee involves subjective factors. Consequently, Dryject's consent to a transfer is a subjective determination, considering several factors. These include ensuring the transferee assumes all obligations under the franchise agreement, all debts to Dryject and its affiliates are paid, and the franchisee is not in default of any agreements.

Furthermore, Dryject stipulates that, with the exception of existing Dryject franchisees, the proposed transferee must not operate or participate in any business offering similar products or services. The transferee must also meet all of Dryject's requirements for new franchisees, including demonstrating good reputation, character, experience, business acumen, operational ability, and financial stability. The prospective franchisee must also show a willingness and ability to devote full time and effort to the operation. Dryject requires complete information about the proposed transferee to make a fully informed decision.

In essence, these transfer restrictions allow Dryject to maintain control over who enters the franchise system, ensuring that new franchisees meet their standards and will uphold the brand's reputation and operational standards. This is a common practice in franchising, as the success of individual franchisees can impact the entire network.
