8. BUSINESS RELATIONSHIP

Neither of us is the employer, employee, agent, partner, fiduciary or co-venturer of or with the other, each being independent of the other.
Neither party is liable or responsible for the other's debts or obligations and neither party shall be obligated for any damages to any person or property directly or indirectly arising out of the operation of the other party's business.
We and You agree that neither of us will hold ourselves out to be the agent, employer, partner or co-venturer of the other, and that neither of us has the authority to create or assume in the other's name or on their behalf, any obligation, express or implied, or to act or purport to act as agent or representative for any purpose whatsoever and cannot bind or incur liability on behalf of the other.
- (b) You and We agree that any materials, guidance or assistance that We provide with respect to the terms and conditions of employment for Your employees, employee hiring, firing and discipline, and similar employment-related policies or procedures, whether in the Operations Manual or otherwise, are solely for Your optional consideration and use.
Those materials, guidance and assistance do not form part of the mandatory System Standards.
You will determine to what extent, if any, these materials, guidance or assistance should apply to Your employees.
You acknowledge that We do not dictate or control labor or employment matters for franchisees and their employees and will not be responsible for the safety and security of Your employees or patrons.
You are solely responsible for determining the terms and conditions of employment for all Your employees, for all decisions concerning the hiring, firing and discipline of Your employees, and for all other aspects of labor relations and employment practices.
What This Means (2025 FDD)
Based on the 2025 Dryject Franchise Disclosure Document, Item 8 outlines the business relationship between the franchisor, franchisee, and the franchisee's employees or trainees, but it does not explicitly detail how the franchisor's business experience (typically covered in Item 2) directly shapes this relationship. Item 8 primarily focuses on defining the independent nature of the franchisor-franchisee relationship and protecting Dryject's trade secrets.
Specifically, Item 8 emphasizes that the franchisee is an independent business entity, and the relationship is solely that of franchisor and franchisee, without creating a fiduciary relationship. This means Dryject franchisees are responsible for their own business operations, including employment matters, and the franchisor is not liable for their debts or obligations. The agreement also includes clauses to prevent franchisees and their employees from acting as agents or partners of Dryject.
Furthermore, a significant portion of Item 8 is dedicated to protecting Dryject's trade secrets. It outlines the obligations of franchisees and their employees (trainees) to maintain the confidentiality of the franchisor's trade secrets, including restrictions on disclosure, copying, and use of the Dryject system. These protections extend beyond the term of employment or the franchise agreement, with non-compete clauses in place for a specified period. While Item 8 defines the restrictions and obligations concerning trade secrets and the independent business relationship, it does not directly reference or explain how the franchisor's specific business experience influences these terms.
To understand how the franchisor's experience informs these aspects of the business relationship, a prospective franchisee should refer to Item 2 of the FDD, which details the franchisor's background and expertise. Additionally, they should ask the franchisor directly about how their experience has shaped the terms and conditions outlined in Item 8, particularly regarding trade secret protection and the support provided to franchisees in managing their independent businesses.
