What This Means (2025 FDD)
According to Dryject's 2025 Franchise Disclosure Document, Dryject franchisees are permitted to use the franchisor's copyrighted material as part of their franchised business. Specifically, Dryject claims copyright in its written materials, but franchisees are explicitly allowed to use these materials in the operation of their Dryject franchise. This permission is subject to the franchisee operating the business strictly according to the standards, methods, policies, and procedures specified in the Manual.
However, franchisees must treat the Manual and the information within it as confidential, using reasonable efforts to maintain its secrecy. Franchisees are prohibited from copying, duplicating, recording, or making the materials available to unauthorized persons. The Manual remains the sole property of Dryject and must be returned if the franchisee ceases to be a Franchise Owner. Dryject may periodically revise the Manual's contents, and franchisees must comply with each new or changed standard, ensuring the Manual is kept current at all times. In case of any dispute regarding the Manual's contents, the master copies maintained by Dryject at its principal office will be controlling.
This arrangement is typical in franchising, where franchisors provide operational manuals and marketing materials to franchisees but retain ownership and control over their use and distribution. Franchisees benefit from using established, branded materials, while franchisors protect their intellectual property and maintain brand consistency across all franchise locations. Prospective Dryject franchisees should carefully review Item 14 of the FDD and the Franchise Agreement to fully understand the scope of permitted use and the restrictions on Dryject's copyrighted materials.
