What This Means (2025 FDD)
According to the 2025 Dryject FDD, a franchisee must perform acts and deliver documents that are deemed necessary to assist in or accomplish the purposes of the Telephone Listing Agreement. This means the franchisee is obligated to cooperate with Dryject and take required actions to ensure the Telephone Listing Agreement is effectively implemented.
Upon termination of the Franchise Agreement, the franchisee is required to direct all telephone companies to transfer all rights and interests in telephone numbers and listings to Dryject and execute documents to complete the transfer. Dryject is granted the power of attorney to act on behalf of the franchisee to take action and execute documents necessary to fulfill the Telephone Listing Agreement. This includes directing telephone companies to transfer or terminate telephone numbers and listings.
Dryject can present a written statement as proof of the Franchise Agreement's termination to the telephone companies. Once the telephone companies transfer the telephone numbers and listings to Dryject, the franchisee no longer has interest in or obligations under such telephone numbers and listings, although the franchisee remains liable for payments owed to telephone companies before the transfer date.
This agreement remains in effect even after the termination of the Franchise Agreement. The franchisee is responsible for covering costs related to their performance or nonperformance, as well as Dryject's enforcement of the agreement. The franchisee also agrees to indemnify Dryject against any losses or claims related to the Telephone Listing Agreement.
