Does Dryject's evaluation or inspection constitute control over the day-to-day operation of the Dryject Business?

According to Dryject's 2025 Franchise Disclosure Document, any evaluation or inspection that Dryject conducts is not intended to exercise control over the franchisee's day-to-day operations. Nor does it assume responsibility for the franchisee's obligations under the Franchise Agreement. This suggests that while Dryject has the right to observe and inspect the franchisee's business, these actions are primarily for quality control and maintaining brand standards rather than dictating daily management.

The Operations Manual remains Dryject's confidential property and Trade Secret, and franchisees must follow its directives, as modified by Dryject from time to time, to protect the integrity and reputation of the Dryject System.

Furthermore, Dryject has the right to establish and utilize an on-line computer monitoring system to remotely examine the franchisee's records pertaining to the operation of the Franchised Business. This allows Dryject to monitor performance and compliance with system standards without directly interfering in day-to-day operations. The franchisee is also required to subscribe to business class high-speed Internet access to facilitate this monitoring.
