What This Means (2025 FDD)

According to Dryject's 2025 Franchise Disclosure Document, 'Franchisee's Interest' pertains to the franchisee's rights, title, and interest in telephone numbers and directory listings related to the Dryject franchised business or the Dryject marks. This includes regular telephone listings, classified listings, and yellow page listings. Upon termination of the Franchise Agreement, Dryject has the right to direct the franchisee to transfer all rights and interests in these telephone numbers and listings to Dryject.

This transfer involves directing telephone companies and directory publishers to transfer the franchisee's interest to Dryject and executing any necessary documents to effectuate this transfer. The Telephone Listing Agreement further emphasizes the franchisee's obligation to comply with these directives, ensuring that Dryject maintains control over the telephone contacts and listings associated with the Dryject business. This is reinforced by the statement that Dryject would not enter into the Franchise Agreement without the franchisee's agreement to comply with the Telephone Listing Agreement.

For a prospective Dryject franchisee, this means that any phone numbers or listings they acquire or use for the Dryject business during the term of the franchise agreement are ultimately controlled by Dryject. Upon termination of the agreement, the franchisee must transfer these assets to Dryject. This is a standard practice in franchising, allowing the franchisor to maintain brand consistency and customer relationships. The franchisee should be aware that they will not retain any rights to these phone numbers or listings after the franchise agreement ends, and they must cooperate fully with Dryject to ensure a smooth transfer.

This requirement is formalized through the Telephone Listing Agreement, which the franchisee must sign as part of the franchise agreement. This agreement ensures that Dryject can maintain continuity and control over its brand identity and customer access points, even after a franchise relationship ends. The franchisee's compliance with this agreement is a condition of the franchise agreement, highlighting its importance to Dryject.
