What This Means (2025 FDD)

According to the 2025 Dollar Rent A Car Franchise Disclosure Document, both the franchisee and their manager are required to sign confidentiality agreements. The franchisee must sign the Confidentiality and Non-Competition Agreement (Owners), while the employed manager must sign a Confidentiality Agreement (Managerial Employees). The forms for both agreements are included as attachments to the Franchise Agreement. Specifically, the owner's agreement is Attachment F, and the manager's agreement is Attachment H. These agreements aim to protect Dollar Rent A Car's confidential and proprietary information.

The requirement for both owners and managers to sign confidentiality agreements is a common practice in franchising. This ensures that individuals with access to sensitive business information are legally bound to protect it. The franchisee's agreement also includes a non-competition clause, restricting their involvement in similar businesses within a specified area and timeframe after leaving the Dollar Rent A Car system. This is designed to prevent franchisees from using the franchisor's knowledge to unfairly compete.

For a prospective Dollar Rent A Car franchisee, this means they will need to carefully review and understand the terms of both confidentiality agreements before signing. They should also ensure that their manager is willing to sign the agreement, as this is a condition of their employment. The franchisee should be aware of the restrictions imposed by the non-competition clause and consider how it might affect their future business opportunities. It is advisable to seek legal counsel to fully understand the implications of these agreements.

These measures are in place to protect Dollar Rent A Car's business model, trade secrets, and market position. By requiring these agreements, Dollar Rent A Car aims to maintain a competitive edge and prevent the unauthorized use of its confidential information. Franchisees should recognize that these agreements are a standard part of the franchise relationship and are intended to benefit both the franchisor and the franchisee by preserving the integrity of the franchise system.
