Recipient may share the Confidential Information only with other employees and agents of Franchisee that, in the reasonable judgment of Recipient, need to know such Confidential Information for the purpose fulfillment of their responsibilities on behalf of Franchisee, are informed of the confidential nature of the Confidential Information, and agree to be bound by the terms and conditions of this Agreement.

Recipient shall be responsible for any breach of this Agreement by any such employee or agent.

Moreover, Recipient shall take all reasonably necessary measures to restrain such employees or agents from unauthorized disclosure or use of the Confidential Information.
