o any agent, delegate or subcontractor of Yours. Breach of this Section 12.9 by You shall be deemed a material breach of this Agreement. We reserve the right to terminate this Agreement if We reasonably suspect or believe that a breach of the Relevant Requirements has occurred.
- 12.10. Signage, Fixtures and Furnishings. You shall purchase and install, at such locations in such manner as We shall designate, such signs, fixtures, furnishings, kiosks, appliances and equipment as We may direct from time to time; and refrain from installing or permitting to be installed any signs, fixtures, furnishings, appliances or equipment not meeting Our standards and specifications. You agree to refurbish and upgrade the Locations as may be reasonably required by Us to maintain or improve the appearance of the Locations, to accommodate new or additional car or car-related requirements, and to conform to Our current standards and specifications as We may from time to time prescribe in the Operations Guide, Identification Standards Manual or otherwise in writing. You agree to display, at Your expense, the then current Marks on all signage, forms, uniforms, stationery and any other items that We designate for display of the Marks. In the event that We change the Marks, or trade dress, You shall have a reasonable period of time (as We may in our discretion from time to time prescribe in the Operations Guide, Identification Standards Manual or otherwise in writing) to make such modifications pursuant to this Section.

What This Means (2025 FDD)
According to the 2025 Dollar Rent A Car Franchise Disclosure Document, franchisees must adhere to the Identification Standards Manual. Specifically, Dollar Rent A Car can require franchisees to refurbish and upgrade their locations to conform to the brand's current standards and specifications, as outlined in the Operations Guide, Identification Standards Manual, or other written communication. This includes maintaining or improving the appearance of the locations and accommodating new car or car-related requirements.
Dollar Rent A Car franchisees are obligated to display the current trademarks on all signage, forms, uniforms, stationery, and any other items designated for display. If Dollar Rent A Car changes its marks or trade dress, franchisees are given a reasonable period to make the necessary modifications, as prescribed in the Operations Guide, Identification Standards Manual, or other written communication.
For franchisees operating multiple brands (Hertz, Dollar, and Thrifty), all facilities servicing customers must be branded separately according to the applicable franchise agreement and must comply with the Operations Guides for displaying the respective marks. This includes maintaining separate rental counters, telephone numbers and lines, buses, and employee uniforms and name tags for each brand to ensure they are distinct to the public.
