granting of the right by Us to You. In addition, (i) We and Our Affiliates shall have the right to utilize and to license others to utilize the Marks or the Franchised System in connection with the Car Sales Business, Vehicle Leasing Business or Car Self-Service/Sharing Business, or offer franchises for these purposes, both within and outside the Franchised Territory, including sales to Your customers, competitors and commercial fleet operators, regardless of proximity to or competitive impact upon Your Franchised Business and without Your consent and without providing any rights or compensation to You; and; (ii) We and Our Affiliates shall have the right to operate and to grant franchises to others to operate Affiliate Branded Businesses both within and outside the Franchised Territory, regardless of proximity to or competitive impact upon Your Franchised Business and without Your consent and without providing any rights or compensation to You.

According to the 2025 Dollar Rent A Car Franchise Disclosure Document, Dollar Rent A Car and its affiliates have the right to operate and franchise Affiliate Branded Businesses, regardless of their proximity to or competitive impact on a franchisee's business. This can occur both within and outside the franchisee's territory, without requiring consent or providing compensation to the franchisee.
Dollar Rent A Car and its affiliates retain the right to utilize and license the Marks or the Franchised System in connection with Car Sales Businesses, Vehicle Leasing Businesses, or Car Self-Service/Sharing Businesses. This includes sales to a franchisee's customers, competitors, and commercial fleet operators. These activities can occur within or outside the franchised territory, without the franchisee's consent or compensation, and regardless of any competitive impact on the franchisee's business.
For a prospective Dollar Rent A Car franchisee, this means that while they are granted a franchise, Dollar Rent A Car retains significant rights to operate similar businesses, including Affiliate Branded Businesses, which could potentially compete with the franchisee's location. The franchisee has no recourse for this competition. The franchisee also cannot use the Dollar Rent A Car marks in association with any business, product, or service not specifically authorized by the Franchise Agreement.
