What This Means (2024 FDD)
According to Dickeys Barbecue Pit's 2024 Franchise Disclosure Document, besides the standard rights and remedies, Dickeys Barbecue Pit has specific alternate remedies it can elect to use if a franchisee defaults. Instead of terminating the agreement, Dickeys Barbecue Pit can choose to take other actions, provided they give the franchisee written notice.
Dickeys Barbecue Pit can suspend the franchisee's rights to participate in advertising, marketing, promotional, or public relations programs. They can also suspend the right to offer catering or delivery services, and the right to receive services and support from Dickeys Barbecue Pit and its affiliates. This means a franchisee in default could lose access to crucial marketing and operational support, potentially impacting their revenue and brand visibility.
Additionally, Dickeys Barbecue Pit can temporarily or permanently reduce or eliminate the Primary Area granted to the franchisee. If the Primary Area is reduced, the restrictions on Dickeys Barbecue Pit or its affiliates under Article 1 of the agreement would no longer apply to the removed geographic area. This could allow Dickeys Barbecue Pit to establish another franchise nearby, increasing competition for the franchisee. Dickeys Barbecue Pit can also temporarily remove information about the franchisee's restaurant from Dickey's website or extranet, and/or restrict the franchisee's participation in other programs or benefits offered through these platforms. This could further isolate the franchisee and reduce their access to customers and resources.
These alternate remedies provide Dickeys Barbecue Pit with flexibility in managing franchisees who are not meeting their obligations, without immediately resorting to termination. For a prospective franchisee, it's important to understand these potential consequences of default and to maintain compliance with the franchise agreement to avoid such actions.
