What is considered "Confidential Information"

You acknowledge that Dickey's will disclose to you confidential and proprietary information and trade secrets of Dickey's as part of the training program and the other services to be rendered by Dickey's hereunder ("Confidential Information").
You, your Owner/Operator, Investors, Management Group (if applicable), and all other persons affiliated with you shall not, during the term of this Agreement and thereafter, communicate or divulge to, or use for the benefit of, any other person(s), partnership, association, corporation or other entity any Confidential Information, knowledge, or know-how concerning the methods of operation of the franchised business that may be communicated to you or any of such persons or of that they may be apprised by virtue of your operation of the franchised business under this Agreement.
You and your Owner/Operator and each of your Investors shall divulge such Confidential Information only to your manager(s) of your Restaurant and such other Restaurant personnel as may reasonably require access to it to operate the franchised business.
Any and all information, knowledge, know-how, and techniques used in or related to the System that Dickey's communicates to you or your Owner/Operator (including your Investors only if they are an Owner/Operator or have received the confidential information or training) including, but not limited to, the Manuals, recipes, sauces, spice mixes and rubs, plans, and specifications, marketing information and strategies, and site evaluation and selection guidelines and techniques, shall be deemed Confidential Information for purposes of this Agreement.

According to the 2024 Dickeys Barbecue Pit Franchise Disclosure Document, Confidential Information encompasses the confidential and proprietary details and trade secrets that Dickeys Barbecue Pit shares with franchisees during training and other services. This confidentiality clause is crucial for protecting Dickeys Barbecue Pit's competitive advantage and proprietary methods. Prospective franchisees should understand the breadth of information considered confidential and the restrictions on its use and disclosure. Failure to comply with these confidentiality covenants can result in a default under the Franchise Agreement, potentially leading to legal and financial repercussions.
