What This Means (2025 FDD)
According to the 2025 Deer Solution FDD, the Assignment of Telephone Numbers and Digital Media Accounts agreement, attached as Exhibit 3 to the Franchise Agreement, becomes effective automatically upon the termination or expiration of the Franchise Agreement for any reason. This assignment allows Deer Solution Franchising LLC to maintain control of the franchisee's telephone numbers and digital media accounts upon termination or expiration of the franchise agreement.
Deer Solution's declaration of the expiration or termination of the Franchise Agreement is considered definitive and not subject to challenge by third parties. This provision ensures that third parties can rely on the assignment to transfer control of the media to Deer Solution. The utilization of this assignment is at the sole discretion and benefit of Deer Solution.
In practical terms, this means that a Deer Solution franchisee does not need to update or re-execute the assignment during the normal course of the franchise relationship. The assignment is triggered automatically when the franchise agreement ends, ensuring a smooth transfer of digital assets back to the franchisor. This is a fairly standard practice in franchising to protect the brand's online presence and customer communications.
