According to the 2025 Deer Solution Franchise Disclosure Document, in the event of a transfer of the franchise, the franchisee, each owner, and each spouse must remain liable for all obligations to Deer Solution as set forth in the Franchise Agreement. Additionally, employees, directors, officers, independent contractors, and agents who will have access to confidential information must execute the Confidentiality Agreement attached as Exhibit 2.

Prior to a transfer of a Deer Solution franchise, the franchisee must ensure that the proposed transferee (including their owners and spouses, if applicable) is of good moral character, possesses sufficient business experience, aptitude, and financial resources, and meets Deer Solution's standards for franchisees. The proposed transferee and their owners/spouses must not own or operate a competitive business.

Deer Solution also has a right of first refusal. If a franchisee or owner desires to transfer the franchise, they must provide Deer Solution with a copy of the bona fide, signed written offer from the purchaser. Deer Solution then has 30 days to decide whether to purchase the interest on the same terms as the offer. If Deer Solution declines, the franchisee may proceed with the transfer to the purchaser, provided that the sale is completed within 60 days and there are no material changes to the terms.
