Can Deer Solution reject a franchisee's marketing efforts?

- (5) Franchisee shall, at all times, ensure that all advertising and promotion of the Franchised Business by Franchisee is completely factual and, conforms to the highest standards of ethical advertising, and is in conformity with Franchisor's standards and specifications. Franchisee shall refrain from any business practice, advertising practice, or personal conduct that may be injurious to Franchisor, the System, Deer Solution Businesses, and/or the Licensed Marks. Franchisor, in Franchisor's sole discretion, shall possess, among other things, the unilateral right to reject any and all advertising relating to the Franchised Business, Franchisor, the System, Deer Solution Businesses and/or using the Licensed Marks.
- (1) In addition to calendar year quarterly reports, Franchisee shall provide Franchisor with weekly reports documenting Franchisee's marketing initiatives, expenses incurred, placements secured, and other metrics and financial information as designated by Franchisor;
- (2) Prior to opening the Franchised Business, Franchisee shall submit to Franchisor, Franchisee's initial marketing plan for review and approval by Franchisor. Franchisee shall use only those portions of its initial marketing plan that is pre-approved by Franchisor and consistent with Franchisor's standards and specifications. Not less than 30 days prior to the opening of the Franchised Business and during the initial three month period following the Actual Opening Date, Franchisee shall spend not less than $15,000 to market and promote the opening of the Franchised Business in accordance with Franchisor's standards and specifications. At least $10,000 of the startup marketing expense shall be paid to Franchisor's affiliate to conduct the start-up online marketing on behalf of the Franchised Business. Franchisor may require Franchisee to pay the start-up marketing expenses to Franchisor, Franchisor's affiliates, and/or Franchisor's designees to conduct the start-up marketing for the Franchised Business;
- (3) At all times, Franchisee's marketing efforts and the distribution of each marketing channel and media engaged by Franchisee must be directly targeted to Franchisee's Operating Territory. Franchisee shall not direct or target Franchisee's marketing efforts with the purpose or effect of soliciting or attracting customers outside of Franchisee's Operating Territory. To the extent that Franchisee's marketing efforts involve a marketing medium or distribution channel that is targeted to Franchisee's Operating Territory but reaches outside of and beyond Franchisee's Operating Territory Franchisor, in Franchisor's Reasonable Business Judgment, shall have the right to direct and require Franchisee to discontinue such marketing;

What This Means (2025 FDD)
According to Deer Solution's 2025 Franchise Disclosure Document, Deer Solution retains significant control over franchisee advertising and marketing. Specifically, Deer Solution has the unilateral right to reject any and all advertising related to the franchised business, Deer Solution itself, the Deer Solution system, Deer Solution businesses, and/or the use of licensed marks. This gives Deer Solution broad authority to ensure that all franchisee marketing aligns with the brand's standards and specifications.
Prior to opening, a Deer Solution franchisee must submit their initial marketing plan to Deer Solution for review and approval, and can only use the pre-approved portions. Franchisees are required to spend at least $15,000 to market and promote the opening of their franchise within the first three months, with at least $10,000 of this amount being paid to Deer Solution's affiliate for online marketing. Deer Solution may also require franchisees to pay these startup marketing expenses directly to Deer Solution, its affiliates, or designees.
Deer Solution also monitors ongoing marketing efforts. Franchisees must provide weekly reports documenting their marketing initiatives, expenses, placements, and other metrics. If a franchisee's marketing efforts, even if targeted to their territory, reach beyond it, Deer Solution has the right to require the franchisee to discontinue that marketing. This ensures that marketing is focused on the franchisee's designated operating territory and does not encroach on other territories.
These provisions allow Deer Solution to maintain brand consistency and control marketing practices across all franchise locations. A prospective franchisee should be aware that their marketing efforts are subject to Deer Solution's approval and oversight, and they must adhere to the franchisor's standards and specifications. This includes restrictions on marketing outside of the franchisee's designated territory and the requirement to use pre-approved marketing plans and materials.
