Franchisee agrees that the foregoing covenants and obligations shall also apply to: (a) Franchisee's Owners and Spouses and that Franchisee's Owners and Spouses shall each execute and deliver to Franchisor the Franchise Owner and Spouse Agreement and Guaranty in the form attached to this
Agreement as Exhibit 1; and (b) Franchisee's directors, officers, employees and agents where disclosure of the Confidential Information was necessary for the operations of the Franchised Business and where such director, officer, employee and/or agent previously executed and timely delivered to Franchisor the Confidentiality Agreement in the form attached as Exhibit 2.

What This Means (2025 FDD)
According to Deer Solution's 2025 Franchise Disclosure Document, franchisees, their owners, and their spouses must adhere to confidentiality obligations. Franchisees must not use confidential information outside of their Deer Solution business, must maintain confidentiality, avoid unauthorized copies, and take steps to prevent unauthorized use or disclosure. These obligations extend both during and after the franchise agreement.
Specifically, Deer Solution requires that the franchisee's owners and spouses each execute and deliver a 'Franchise Owner and Spouse Agreement and Guaranty.' This agreement, detailed in Exhibit 1 of the Franchise Disclosure Document, legally binds them to the confidentiality terms.
Additionally, if a franchisee transfers their business, the transferee's employees, directors, officers, independent contractors, and agents who will have access to confidential information must also execute a Confidentiality Agreement, which is attached as Exhibit 2 in the FDD. This ensures that confidentiality is maintained even with changes in ownership or personnel.
